User Terms of Service & Platform Agreement
1. About NoDalalTalks
1.1NoDalalTalks (“NDT”, “we”, “us” or “our”) is a technology platform intended to help people research real-estate projects and, where available, connect with verified individual property buyers who can share firsthand experiences through paid, in-app Buyer Sessions.
1.2 NDT is not the developer, builder, seller, broker or agent of a property merely because information relating to that property appears on the Platform.
1.3 NDT facilitates access to information and peer experience. It does not guarantee any property transaction, investment return, appreciation, rental income, financing outcome, legal outcome or other result.
1.4 Features, eligibility criteria, pricing structures and marketplace mechanisms may change over time in accordance with these Terms.
2. Definitions
- Platform: means the NoDalalTalks website, applications, in-app communication systems and related digital services.
- User: means a person who accesses or uses the Platform.
- Buyer: means a User who uses the Platform to research property information or participate in a Buyer Session.
- Advisor: means an individual approved by NDT to share qualifying firsthand property-buying or ownership experience through the Platform.
- Buyer Session: means a real-time audio, video, chat or other in-app interaction facilitated by NDT between a Buyer and an Advisor.
- Advisor Rate: means the per-minute rate applicable to Buyer Sessions as displayed by NDT.
- Platform Fee: means the fee retained by NDT from eligible Advisor earnings, as disclosed on the Platform.
- Booking: means a confirmed request to initiate or schedule a Buyer Session.
- Content: means reviews, ratings, text, photographs, questions, profile information and other material submitted through the Platform.
3. Eligibility & Registration
3.1 Eligibility
- You must be at least 18 years old and legally capable of entering a binding agreement.
- You must not be previously banned or suspended unless NDT expressly permits re-entry.
- You must provide valid information required for account creation and verification.
3.2 Account Registration
You agree to provide accurate, current and complete information and to update material information when it changes. NDT may request additional information where reasonably necessary for security, verification, payments or compliance.
3.3 One Account Per Person
Each individual may maintain only one personal NDT account. Accounts may not be shared, transferred, sold, rented or operated on behalf of another person. An Advisor account must be operated personally by the verified individual approved by NDT.
3.4 Account Security
You are responsible for safeguarding your login credentials and device access. Promptly notify NDT at support@nodalaltalks.com if you suspect unauthorised access, account compromise or misuse.
4. How the Platform Works
4.1 Discovery & Booking
Buyers may browse available Advisor profiles and relevant property experience and may request a Buyer Session through the Platform. Availability depends on Advisor availability and NDT's technical systems.
4.2 Standard Advisor Rate at Launch
At the initial launch of the Advisor marketplace, NDT will determine and apply one standard Advisor Rate for eligible Buyer Sessions. Advisors will not initially set individual rates. The applicable rate will be clearly displayed to Buyers before a Booking or Buyer Session begins. NDT may later introduce differentiated Advisor Rates or allow Advisors to set their own rates based on reviews, experience, demand, availability or other marketplace criteria. Any such change will apply prospectively.
4.3 Platform Fee
NDT may retain a Platform Fee from eligible Advisor earnings. The applicable Platform Fee will be disclosed to Advisors through the Platform and may be changed prospectively.
4.4 In-App Buyer Session
Buyer Sessions are conducted through NDT's in-app communication system or another communication technology designated by NDT. References in older materials to “telephone calls” or “telephonic consultations” are replaced by “Buyer Session” for purposes of these Terms.
4.5 Billing
Where per-minute billing applies, charges are calculated using the applicable Advisor Rate and billable duration displayed by the Platform. Any minimum billable duration will be disclosed before or at the start of the Buyer Session.
4.6 Payments
Payments may be processed through third-party payment providers and other methods enabled on the Platform. NDT may receive transaction information necessary to confirm, reconcile, refund and administer payments.
5. User Obligations & Prohibited Conduct
5.1 Permitted Use
- Research property information and obtain genuine firsthand buyer experience.
- Participate respectfully in Buyer Sessions.
- Submit honest reviews based on actual Platform experiences.
- Share property documents only where you are authorised to do so.
5.2 Prohibited Conduct
- Use the Platform for an unlawful purpose.
- Bypass NDT's payment or marketplace systems.
- Solicit an Advisor to move a Buyer Session or related transaction outside NDT.
- Harass, threaten, abuse, intimidate or demean another person.
- Impersonate another person or provide materially false identity information.
- Manipulate, purchase, fabricate or coordinate fake ratings or reviews.
- Scrape, crawl, copy, reverse engineer or systematically extract Platform data without authorisation.
- Attempt to compromise Platform security or access accounts or systems without permission.
- Use another person's personal information without appropriate authority.
- Book a Buyer Session with the intention of obtaining unpaid services through abuse of cancellation or dispute mechanisms.
- Use the Platform to solicit, pressure or induce a Buyer to purchase, reserve, invest in or transact in property for commercial benefit.
5.3 Advisor-Specific Prohibitions
- Misrepresent property ownership, purchase history, identity or experience.
- Hide a material commercial relationship or financial incentive connected to a property, project, developer, broker or transaction being discussed.
- Act as a broker, agent, salesperson, developer representative or other professional intermediary through an Advisor account.
- Use Buyer Sessions to promote, market or sell property or other commercial services.
- Guarantee appreciation, investment returns, rental returns or transaction outcomes.
- Present a personal estimate as an authoritative or certified property valuation.
- Solicit Buyers for off-platform business or direct payment.
6. Cancellation, Refunds & Service Not Provided
6.1 Buyer Cancellation
A Buyer may cancel a Booking subject to the cancellation rules displayed at the time of Booking. Any applicable cancellation charge will be disclosed before or during cancellation.
6.2 Advisor No-Show or Platform Technical Failure
If an Advisor fails to attend a confirmed Buyer Session within the applicable grace period displayed by NDT, the Buyer may be eligible for a refund or credit. If a material technical failure attributable to NDT prevents the Buyer Session from being provided, NDT may provide a proportionate refund or credit after review.
6.3 Buyer Session Recording
NDT will not represent that a Buyer Session is recorded unless recording functionality is actually enabled. If recording or transcription is introduced, NDT will provide appropriate notice and obtain consent where required. Users must not independently record or redistribute Buyer Sessions contrary to law, Platform rules or participant rights.
6.4 Quality or Service Disputes
A Buyer may report a material service issue through in-app support or support@nodalaltalks.com within the period specified by the Platform. NDT may review booking, payment, technical and conduct information before deciding whether a refund, credit or other remedy is appropriate.
6.5 Account Credits
Where NDT provides an account-credit mechanism, unused credits may be refundable subject to applicable law, payment-provider rules and the Refund Policy. NDT will not represent that an account-credit feature is a regulated payment wallet unless it is lawfully structured and operated as such.
7. Content, Reviews & Community Standards
7.1 User Content
You retain ownership of Content you lawfully submit, subject to the rights granted to NDT under these Terms.
7.2 Licence to Operate
By submitting Content, you grant NDT a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, format, moderate and otherwise use that Content to the extent reasonably necessary to operate, maintain, secure, improve and promote the Platform and its services, subject to the Privacy Policy and applicable law.
7.3 Review Standards
- Reviews must be based on genuine personal experience.
- Reviews must not be fabricated, purchased, coordinated or materially misleading.
- Reviews must not unlawfully disclose another person's confidential or personal information.
- NDT may moderate, restrict or remove Content that violates these Terms, applicable law or community standards.
7.4 Prohibited Content
Users must not submit unlawful, fraudulent, defamatory, abusive, threatening, sexually explicit, hateful or materially misleading Content, or Content that infringes another person's rights.
7.5 Accuracy of Content
You are responsible for the accuracy and legality of Content you submit. NDT may request clarification or evidence where reasonably necessary to protect Platform integrity.
7.6 Operational Timeframes
Any review, verification or support timeframe shown on the Platform is an operational target and not a guaranteed contractual deadline unless expressly stated otherwise.
8. Advisor Eligibility, Verification & Professional-Entity Prohibition
8.1 Genuine Individual Buyer Requirement
An Advisor must be a genuine individual buyer or qualifying property owner with relevant firsthand experience. Approval is personal to the verified individual and cannot be transferred.
8.2 Occupation & Conflict Disclosure
Applicants must accurately disclose their current occupation, business activities and material commercial relationships relevant to real estate. NDT may request information reasonably necessary to determine whether an applicant has a conflict of interest.
8.3 Prohibition on Professional Real-Estate Entities
A company, brokerage, agency, developer, builder, property marketing organisation or other professional real-estate entity may not register or operate as an Advisor. An individual who works in a real-estate profession may also be ineligible where their occupation or commercial interests create a material conflict with the purpose or integrity of the Advisor marketplace.
8.4 Verification
NDT may verify identity, purchase or ownership information and other eligibility information using documents or verification providers. NDT may retain verification results and supporting information in accordance with its Privacy Policy and applicable law.
8.5 Right to Reject an Application
Submission of an Advisor application does not create an entitlement to approval. NDT may accept, reject, defer or request additional information where verification is incomplete, eligibility is not established, information is inconsistent, a conflict exists, or approval would reasonably undermine marketplace integrity.
8.6 Verification Does Not Equal Endorsement
An Advisor verification badge indicates that the Advisor satisfied the applicable verification requirements. It does not constitute an endorsement of the Advisor's opinions, property, project, developer or predictions.
9. Advisor Code of Conduct
9.1 Honesty: Advisors must share genuine firsthand experiences and must not fabricate facts, materially exaggerate benefits or deliberately mislead Buyers.
9.2 Buyer Confidentiality: Advisors must protect Buyer information learned through the Platform and must not disclose a Buyer's identity, contact information, questions or private Buyer Session content to builders, developers, brokers, agents or other third parties except where required by law or authorised by the Buyer.
9.3 No Commercial Promotion: Advisors must not use Buyer Sessions to market or sell property, brokerage services, developer products, financial products or other commercial services.
9.4 No Property-Purchase Solicitation: Advisors may describe their own property purchase, ownership or transaction experience. They must not solicit, pressure or induce a Buyer to purchase, reserve, invest in or otherwise transact in a property for commercial benefit.
9.5 No Guarantees: Advisors must not promise or guarantee appreciation, investment returns, rental returns, resale profits, approval outcomes or other financial or legal results.
9.6 Professional Conduct: Advisors must communicate respectfully, use the in-app Buyer Session system as intended and comply with Platform rules.
10. Property Information, Pricing & No Endorsement
10.1 Firsthand Experience: Advisors may discuss their own purchase price, transaction experience, maintenance experience, possession experience, amenities, construction observations, neighbourhood experience and other firsthand matters.
10.2 No Developer, Builder or Broker Representation: NDT is not the developer, builder, seller, broker or agent of a property simply because the Platform displays information concerning that property.
10.3 No Endorsement: The listing, verification or display of an Advisor, property, project, developer or third-party information does not constitute an endorsement, recommendation or guarantee by NDT.
10.4 Disclosure Obligation: Advisors must disclose material commercial relationships, incentives or conflicts that could reasonably affect a Buyer's understanding of the Advisor's statements.
10.5 No Market-Price Recommendations: Advisors may share the price they personally paid or observed as part of firsthand experience, but must not present personal opinions as certified valuations, authoritative market prices or guaranteed future prices. Advisors must not make guaranteed price or appreciation predictions.
11. Account Security, Suspension & Termination
11.1 Security: Users must take reasonable steps to secure their accounts and must not share credentials.
11.2 Suspension: NDT may suspend, restrict or investigate an account where it reasonably suspects fraud, misrepresentation, confidentiality breaches, off-platform solicitation, payment bypass, security abuse, fake reviews or other material violations.
11.3 Advisor Termination: An Advisor may lose verification or marketplace access if eligibility is no longer established or if the Advisor breaches these Terms, the Advisor Code of Conduct or applicable law.
11.4 Consequences: Following suspension or termination, NDT may restrict Platform access, cancel pending Bookings and take reasonable measures concerning disputed or potentially fraudulent transactions, subject to applicable law.
11.5 Account Closure: Users may request account closure. Certain information may be retained where required or reasonably necessary for legal, tax, accounting, security, fraud-prevention, dispute-resolution or other lawful purposes.
12. Platform Availability & Modifications
12.1 Availability: NDT will use reasonable efforts to maintain Platform availability and reliability, but continuous or uninterrupted availability is not guaranteed.
12.2 No Price Recommendations: NDT may provide property data, transaction information, trends or tools intended to help Buyers research properties. Such information is not a certified valuation or guaranteed price recommendation.
12.3 Service Changes: NDT may add, modify, suspend or discontinue features, including Buyer Session formats, communication technologies, verification processes and marketplace functionality.
12.4 Maintenance & Third-Party Outages: The Platform may become temporarily unavailable due to maintenance, security measures, third-party outages, infrastructure failures, network conditions or other circumstances beyond NDT's reasonable control.
13. Third-Party Information & Services
The Platform may contain information, links, tools or services supplied by third parties, including payment providers, government portals, property databases and infrastructure providers. Such information or services may be provided for convenience or functionality. NDT does not control third-party services and does not guarantee their accuracy, availability or continued operation. Your use of a third-party service is subject to that provider's terms and privacy policy.
14. Disclaimers
NDT's role is to facilitate access to real-estate information and firsthand buyer experiences. NDT does not itself provide professional legal, tax, financial, investment, valuation, brokerage or property-sale services merely by operating the Platform.
An Advisor's statements reflect the Advisor's own experience and opinion. Different Buyers may have different circumstances, objectives, finances, risk tolerance and property requirements.
NDT does not guarantee the accuracy, completeness, suitability or future applicability of every statement made by an Advisor or every third-party data point displayed on the Platform.
15. Intellectual Property
15.1 NDT Property: The Platform's software, design, branding, trademarks, interfaces, databases, systems and other proprietary materials are owned by NDT or its licensors and protected by applicable law.
15.2 Limited Licence: Subject to these Terms, NDT grants you a limited, non-exclusive, non-transferable right to use the Platform for its intended purposes.
15.3 Restrictions: Do not copy or redistribute proprietary Platform materials without permission, do not use NDT branding or trademarks without authorisation, and do not create derivative products from proprietary NDT systems or materials.
15.4 User Content: Your Content remains yours, subject to the operational licence granted in Clause 7 and applicable law.
16. Liability & Indemnification
16.1 Limitation: To the maximum extent permitted by applicable law, NDT will not be liable for indirect, incidental, special, consequential or punitive losses arising from use of the Platform, including losses connected with property transactions or reliance on Advisor statements.
16.2 Liability Cap: To the maximum extent permitted by law, NDT's aggregate liability for a direct claim arising from the Platform will not exceed the amount paid by the claimant to NDT for relevant Platform services during the three months immediately preceding the event giving rise to the claim.
16.3 Exceptions: Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.
16.4 Indemnification: To the extent permitted by law, you agree to indemnify and hold harmless NDT and its directors, employees and service providers from claims, losses or costs arising from your material breach of these Terms, unlawful conduct, fraudulent activity or Content that infringes third-party rights.
17. Informed Decision-Making
17.1 NDT's Role: NDT's purpose is to help Buyers make better-informed decisions when considering a property by bringing together property information and firsthand experiences from verified individual buyers. NDT does not guarantee that a Buyer will make the correct decision or achieve any particular financial, property or investment outcome.
17.2 Independent Verification: Buyers should independently verify material information, including title, approvals, RERA information where applicable, construction status, financial terms, taxes, service charges, contractual terms and property valuation, and should obtain advice from appropriately qualified professionals where necessary.
18. Payments, Taxes & Advisor Earnings
18.1 Payment Processing: Payments may be processed by third-party payment providers. NDT may receive payment status, transaction references and other limited information necessary to administer transactions.
18.2 Advisor Earnings: Advisor earnings are calculated according to the applicable Advisor Rate, billable duration, Platform Fee, refunds, adjustments and other disclosed marketplace rules.
18.3 Advisor Tax Responsibility: Advisors are responsible for determining and complying with their own income-tax, GST and other applicable tax obligations arising from earnings through the Platform. NDT may deduct, withhold, collect or report amounts where required by law.
18.4 No Tax Advice: Information provided by NDT concerning fees, payouts or tax documentation is administrative information and is not tax advice. Advisors should obtain independent professional tax advice where appropriate.
19. Privacy & Personal Data
19.1 Privacy Policy: Personal data is processed in accordance with the NoDalalTalks Privacy Policy, which forms part of the Platform's legal framework.
19.2 Purpose Limitation: NDT will process personal data for identified and lawful purposes described in the Privacy Policy and applicable law. NDT does not sell personal data as a standalone business product.
20. Changes to These Terms
NDT may update these Terms from time to time. Material changes will be communicated through an appropriate notice mechanism where required. Continued use after the effective date of revised Terms may constitute acceptance where legally permitted. If you do not agree to a material change, you should stop using the affected Platform services and may request account closure subject to applicable obligations.
21. Force Majeure
NDT will not be responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, war, civil unrest, government action, regulatory restrictions, widespread network or infrastructure failures, power outages, third-party infrastructure incidents, pandemics or other force majeure events.
22. Dispute Resolution
22.1 Support First: Users should first raise disputes through the Platform's support mechanism or support@nodalaltalks.com.
22.2 Mediation: Where appropriate and legally permissible, unresolved disputes may be referred to mediation in accordance with applicable Indian law.
22.3 Arbitration: Where arbitration is applicable, disputes may be resolved in accordance with the Arbitration and Conciliation Act, 1996, as amended. The intended seat and venue is Mumbai, Maharashtra, unless otherwise required by applicable law or agreed by the parties. Proceedings are intended to be conducted in English.
22.4 Urgent Relief: Nothing prevents NDT from seeking urgent interim or injunctive relief from a competent court where necessary to protect intellectual property, confidential information, Platform security or other legally protectable interests.
23. Governing Law, Entire Agreement & General
23.1 Governing Law: These Terms are governed by the laws of India, subject to mandatory rights and protections available under applicable law.
23.2 Entire Agreement: These Terms, the Privacy Policy, Refund Policy and any additional terms expressly incorporated for specific Platform services constitute the agreement governing your use of the relevant Platform services.
23.3 Severability: If any provision is held invalid or unenforceable, it will be modified or severed to the minimum extent necessary and the remaining provisions will continue to apply.
23.4 No Waiver: Failure by NDT to enforce a provision does not constitute a waiver of its right to enforce that provision later.
23.5 Assignment: NDT may assign or transfer its rights and obligations in connection with a merger, acquisition, restructuring or sale of the Platform or its business, subject to applicable law. Users may not transfer their accounts or obligations without NDT's written consent.

- Broker / professional entity: Professional real-estate entities cannot operate as Advisors; individuals with material conflicts may also be ineligible.
- Privacy: Personal data is handled under the NoDalalTalks Privacy Policy and applicable law.
- Reviews: Reviews must reflect genuine firsthand Platform experience; fake or manipulated reviews are prohibited.
- Disputes: Use Platform support first; mediation/arbitration may apply as described in these Terms.
- Governing law: Laws of India, subject to mandatory legal protections.
